Terms of Service

1. Description of Service

The Service is an online directory that helps consumers find local service providers. We aggregate publicly available business information and present it in a searchable format. We also operate a lead referral service through which consumers may submit service requests that are shared with participating service providers.

We are an information service and referral platform. We are not a contractor, service provider, or agent of any listed business. We do not employ, supervise, direct, or control any service provider listed on the Service. We do not guarantee or warrant the quality, safety, legality, or any other aspect of any service provider's work.

2. No Endorsement or Guarantee

The inclusion of any business in our directory does not constitute an endorsement, recommendation, or guarantee of that business. Credential indicators displayed on listings (such as "License Confirmed" or "Community Trusted") reflect information obtained from publicly available records at the time of collection. These indicators:

• Are not warranties of current licensure, insurance, or qualifications
• May not reflect changes that occurred after our last data update
• Should not be relied upon as a substitute for your own independent verification
• Do not indicate any inspection, audit, or quality assessment by ServiceGraph

You are solely responsible for evaluating and selecting any service provider, verifying their credentials, and negotiating the terms of any service engagement.

3. Lead Referral Service

When you submit a service request through our forms, you authorize us to share your contact information and service request details with one or more service providers who may be able to assist you. By submitting a service request:

• You consent to being contacted by service providers regarding your request, which may include telephone calls, text messages, and emails
• You understand that service providers operate independently and are not employees, agents, or subcontractors of ServiceGraph
• You acknowledge that we do not guarantee that any service provider will respond to your request, that responses will be timely, or that any service provider will be available in your area
• You acknowledge that any agreement for services is between you and the service provider, and ServiceGraph is not a party to that agreement

4. User Responsibilities

You agree to: (a) provide accurate and complete information when using the Service; (b) use the Service only for lawful purposes; (c) not scrape, crawl, copy, or reproduce directory data without our express written permission; (d) not interfere with or disrupt the Service or its infrastructure; (e) not impersonate any person or entity or misrepresent your affiliation; (f) not use the Service to transmit spam, malware, or other harmful content.

5. Business Listings

Business information displayed on the Service is compiled from publicly available sources including state licensing databases, business registrations, and other public records. We strive for accuracy but do not guarantee that any listing information is complete, current, or error-free. Business details including phone numbers, addresses, operating hours, credentials, and service offerings may change without notice.

If you are a business owner or authorized representative, you may request to claim, update, or remove a listing at any time through the "Claim or Remove This Listing" link on any listing page. We will process removal requests within two (2) business days.

6. Intellectual Property

All content, design, trademarks, and technology comprising the Service are owned by or licensed to ServiceGraph LLC. You may not reproduce, distribute, modify, or create derivative works from the Service without our express written permission. The compilation, organization, and presentation of directory data constitutes a protectable work of authorship.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE INFORMATION PROVIDED THROUGH THE SERVICE IS ACCURATE, COMPLETE, OR CURRENT; (C) ANY SERVICE PROVIDER LISTED ON THE SERVICE IS LICENSED, INSURED, QUALIFIED, OR REPUTABLE; OR (D) THE RESULTS OBTAINED FROM USING THE SERVICE WILL MEET YOUR EXPECTATIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVICEGRAPH LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY SERVICE PROVIDER OR THIRD PARTY ON THE SERVICE; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR (D) ANY SERVICES PERFORMED BY A SERVICE PROVIDER YOU FOUND THROUGH THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

9. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

a. Agreement to Arbitrate. You and ServiceGraph LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, and not through court proceedings. You and ServiceGraph LLC waive the right to a trial by jury.

b. Class Action Waiver. YOU AND SERVICEGRAPH LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

c. Exceptions. Either party may bring an individual action in small claims court for Disputes within the court's jurisdictional limits. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the infringement or misappropriation of intellectual property rights.

d. Opt-Out. You may opt out of this arbitration agreement by sending written notice to privacy@servicegraph.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of the arbitration provision.

10. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. For any Disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Santa Cruz County, California.

11. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

12. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms. Material changes will be noted at the top of this page for thirty (30) days following the update.

13. Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
